This contract is a legal agreement between the individual or entity identified as ("Customer") in this agreement and Bytes, Bits & Megabytes as the provider of OfficeByte DRP ("Service Provider"). Customer agrees that the all Services are subject to the rates terms and conditions stated in this Agreement, included any attached hereto. PLEASE READ THE FOLLOWING TERMS AND CONDITIONS CAREFULLY. The Customer and Service Provider agree to the following:
Fees
  • First month, fees, and additional charges are due upon execution of contract
  • OfficeByte is not responsible for 800 (toll free) billing numbers that are sent to our system, it is the responsibility of the customer, unless the 800 or toll free number is provided by OfficeByte, then the necessary charges will apply.
Failure to Pay
  • OfficeByte may deny service or terminate the agreement upon the failure of the Client to pay charges when due. OfficeByte provides the Client with a 5 day grace period for payment on most services. A service will be interrupted or deactivated on outstanding accounts that reach 5 days past the due date. OfficeByte does reserve the right to deactivate or terminate a service prior to the end of the 5 day grace period. If a service is deactivated due to non-payment the service in question will only be reactivated after the outstanding balance has been received in full.
  • Client will return all leased equipment to OfficeByte upon termination (by Client or OfficeByte) of your OfficeByte account. Equipment must be returned in good working condition with all parts, pieces and manuals. Cost of damaged or missing equipment will be added to your final moneys due.
Terms
  • The term of the contract is month to month.  If for any reason the customer chooses to cancel the contract, the moneys due will be one month.   The contract will automatically be renewed every month unless a registered certified letter, is received by OfficeByte, requesting termination,  within 30 days of renewal date. 
  • The customer has 5 business days from the date (below) that the contract was signed, to cancel service. In this event the customer will be entitled to the monthly pre-paid fee and not the setup fee. In the event that the setup fee was waived, the customer will be entitled to the monthly fee, minus the normal set up fee cost.
  • Upon termination of your OfficeByte account, (by client or OfficeByte) all phone numbers related to your OfficeByte account will become the property of OfficeByte. This includes client numbers ported by OfficeByte for the use of the client, unless otherwise stated in this contract. No phone numbers will be transferred back to client if termination is due to non-payment of account, until such time that the account is paid in full.
Miscellaneous
  • All data has restricted access to OfficeByte Administrators and the customer user who owns the account. OfficeByte will not disseminate any information about the customer or their data to any outside party without either written permission, or by legal action.
  • Long Distance charges are rounded to the minute.
  • The liability, if any, of Service Provider arising out of or in any way connected with any defect, error, omission, delay, mistake, interruption, suspension, or other failure in connection with furnishing services, shall in no event exceed an amount equivalent to the prorated change to the Customer for the affected service time period during the interruption occurred. This does not include scheduled interruption of services for upgrades, maintenance, and repairs to the server. 
  • This agreement comprises the entire agreement between the parties on the subject matter contained in this agreement and supersedes all prior or contemporaneous representations, agreements, and understandings of the parties, including without limitation, any letter of intent, letter or memorandum of understanding, or similar document.
  • Voicemail size is 20 minutes. If a voicemail box becomes full callers will be alerted that the box is full and the call will be disconnected. Please delete old messages after you have listened to them so that this does not happen. If you receive voicemail via e-mail call in and delete messages every few days so your box does not fill up. If a box becomes full our system may auto delete your messages, if this happens there is no way to recover the deleted voicemail.
Warranty
  • Bytes, Bits & Megabytes provides no warranties, expressed or implied, to the usability, functionality, up-time, and/or expected results of the telephone and related services it supplies and supports.
Errors & Omissions
  • Bytes, Bits & Megabytes, its staff, contractors, and any other party involved in providing services on behalf of Bytes, Bits & Megabytes, do not warrant that information provided and information contained in contracts, quotes, and agreements, is in every respect accurate, adequate, complete, or suitable for the purpose intended.  They are not responsible or liable for any errors or omissions that may be found in such information or for the results obtained from the use of such information.

Customer acknowledges that he/she has read this agreement. Customer acknowledges he/she has had access to and opportunity to examine the document/s, which are incorporated herein by reference. The undersigned agrees to the terms and conditions of this agreement and represents that he/she has the authority to execute the agreement for the Customer.
